By accessing or using the Sci-Pilot web application ("Service"), available at https://scipilot.app, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and Sci-Pilot ("Company", "we", "us", or "our").
We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting the revised Terms on the Service. Your continued use of the Service after any such modification constitutes your acceptance of the updated Terms. We will make reasonable efforts to notify you of material changes, but it is your responsibility to review these Terms periodically.
Sci-Pilot is an AI-powered project management dashboard that provides tools for task tracking, project organization, financial documentation, team coordination, calendar management, and an AI assistant named Vision AI. The Service is provided as a beta product and is offered free of charge during the beta period.
The Service includes, but is not limited to: project and task management interfaces, internal financial tracking modules (quotes and invoices), calendar and scheduling features, team member management, AI-powered conversation and assistance capabilities through Vision AI, Gmail integration for email-related features, and reporting and analytics dashboards.
To use certain features of the Service, you must create an account. You may register using your email address or through Google OAuth authentication. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must immediately notify us at contact@scipilot.app of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials. You must be at least 18 years of age to create an account and use the Service.
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
The Service, including all software, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and the design, selection, and arrangement thereof, is the exclusive property of Sci-Pilot or its licensors and is protected by copyright, trademark, and other intellectual property laws.
The Sci-Pilot name, logo, Vision AI name and logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Sci-Pilot. You may not use these marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.
"User Content" means any data, text, files, projects, tasks, financial records, calendar events, messages, or other materials you input, upload, or create through the Service. You retain full ownership of your User Content.
By using the Service, you grant Sci-Pilot a limited, non-exclusive, non-transferable, revocable license to use, process, and store your User Content solely for the purpose of providing and improving the Service. We do not claim ownership over your User Content, and we will not use it for purposes unrelated to the Service without your consent.
You are solely responsible for your User Content. You represent and warrant that your User Content does not violate any applicable law or the rights of any third party, including intellectual property, privacy, or contractual rights.
The financial module in Sci-Pilot — including quotes, invoices, financial reports, and all related financial documents — generates documents for INTERNAL ORGANIZATION AND TRACKING PURPOSES ONLY.
By using the financial features of Sci-Pilot, you acknowledge and accept this disclaimer in full.
The Service includes an AI assistant, Vision AI, powered by large language model technology provided through third-party services (including Fireworks AI). Vision AI is designed to assist with project management tasks, but you acknowledge and agree that:
The Service may integrate with or rely on third-party services, including but not limited to: Fireworks AI for large language model processing, Google for Gmail OAuth authentication, and other service providers. Your use of these third-party services is subject to their respective terms of service and privacy policies.
Sci-Pilot is not responsible for the availability, accuracy, or practices of any third-party service. We do not endorse, guarantee, or assume responsibility for any third-party service. Your interactions with third-party services are solely between you and the applicable third party.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, NOR DO WE WARRANT THAT THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCI-PILOT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT SCI-PILOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT OF ONE HUNDRED EUROS (€100.00) OR THE AMOUNT YOU PAID TO USE THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, WHICHEVER IS GREATER.
You agree to defend, indemnify, and hold harmless Sci-Pilot and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, or demands, including without limitation reasonable attorney's fees, alleging or resulting from your use of the Service, your violation of these Terms, or your violation of any rights of another party.
This indemnification obligation applies to claims arising from: your User Content; your use of financial documents generated by the Service in any official, legal, or external capacity in violation of Section 7; your use of AI-generated content; your violation of applicable laws or regulations; and any claim that your use of the Service infringes the rights of any third party.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to your breach of these Terms.
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5 (Intellectual Property), 7 (Financial Module Disclaimer), 10 (Disclaimers and Limitation of Liability), 11 (Indemnification), and 13 (Governing Law).
You may delete your account at any time through the Service's settings or by contacting us at contact@scipilot.app. Upon account deletion, we will remove your personal data in accordance with our Privacy Policy, subject to legal retention requirements.
These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of Paris, France.
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute by contacting us at contact@scipilot.app. We will attempt to resolve the dispute informally within thirty (30) days. If the dispute is not resolved within this period, either party may proceed with formal legal action in the jurisdiction specified above.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be replaced by a valid provision that most closely reflects the intent of the original provision.
Waiver. The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by the waiving party.
Entire Agreement. These Terms, together with our Privacy Policy, Cookie Policy, and End User License Agreement, constitute the entire agreement between you and Sci-Pilot regarding the use of the Service, superseding any prior agreements.
Assignment. You may not assign or transfer these Terms or your rights under them, in whole or in part, without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
