This End User License Agreement ("EULA", "Agreement") is a legal agreement between you ("Licensee", "User", "you", or "your") and Sci-Pilot ("Licensor", "Company", "we", "us", or "our") for the use of the Sci-Pilot web application and associated software ("Software"), accessible at https://scipilot.app.
By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to all of the terms of this EULA, you must not access or use the Software. This EULA is enforceable like any written negotiation agreement signed by you.
This EULA is supplementary to and should be read in conjunction with our Terms of Service and Privacy Policy. In the event of any conflict between this EULA and the Terms of Service, the terms of this EULA shall prevail with respect to the subject matter of the conflicting provisions.
Subject to your compliance with the terms and conditions of this EULA, Sci-Pilot hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your personal and internal business purposes during the beta period, free of charge.

You may not, and you agree not to, do any of the following:
Any use of the Software not expressly permitted by this EULA is a breach of this Agreement and may violate copyright, trademark, and other laws. Sci-Pilot reserves all rights not expressly granted in this EULA.
The Software, including all content, features, functionality, software, source code (where applicable), user interface designs, graphics, logos, icons, images, text, and the selection and arrangement thereof, is the exclusive property of Sci-Pilot and its licensors and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
The Sci-Pilot name, the Sci-Pilot logo, the Vision AI name, the Vision AI logo, and all associated branding elements are trademarks of Sci-Pilot. No license or right to use any trademark is granted by this EULA.
You acknowledge that the Software contains valuable confidential information and trade secrets of Sci-Pilot. You agree not to disclose, provide, or otherwise make available such confidential information to any third party.
You retain all rights, title, and interest in and to any content you create, upload, or submit to the Software ("User Content"). By using the Software, you grant Sci-Pilot a limited, non-exclusive, non-transferable, revocable license to process, display, and store your User Content solely for the purpose of providing the Software's functionality to you.
Your User Content and application data are primarily stored in your browser's localStorage on your device. Sci-Pilot does not guarantee the persistence, integrity, or recoverability of data stored in localStorage. You are solely responsible for maintaining backups of any data you consider important. We strongly recommend periodically exporting and backing up your project data.
Certain features of the Software, notably the Vision AI assistant, involve transmitting data to third-party service providers (including Fireworks AI) for processing. By using these features, you acknowledge and consent to such transmission. We employ data processing agreements with our service providers to protect your data in accordance with applicable data protection laws.
The financial module in Sci-Pilot — including quotes, invoices, financial reports, and all related financial documents — generates documents for INTERNAL ORGANIZATION AND TRACKING PURPOSES ONLY.
By using the financial features of Sci-Pilot, you acknowledge and accept this disclaimer in full. This provision shall survive any termination of this EULA.
The Software includes an AI assistant feature ("Vision AI") that provides AI-generated responses, suggestions, and analysis. You acknowledge and agree that:
The Software may include or be accompanied by open source or third-party software components, each of which is subject to its own license terms. Such components are not licensed under this EULA but under their respective licenses, which are included with the Software or available upon request. Nothing in this EULA limits your rights under the licenses of any open source or third-party components.
The Software utilizes, among others, the following key technologies: React and Next.js (MIT License), Framer Motion (MIT License), and other open source libraries as listed in the Software's dependencies.
The Software is currently provided as a beta version. You acknowledge that beta software may contain bugs, errors, or other problems that could cause system failures, data loss, or other issues. By using the Software during the beta period, you accept these risks.
We do not guarantee the availability, reliability, or performance of the Software. We may modify, suspend, or discontinue the Software or any feature at any time, including during the beta period, without notice or liability. Features available during beta may change, be removed, or require payment in future releases.
THE SOFTWARE IS LICENSED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCI-PILOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
SCI-PILOT DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SCI-PILOT DOES NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SOFTWARE WILL BE EFFECTIVE, ACCURATE, OR RELIABLE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY SCI-PILOT OR ITS AUTHORIZED REPRESENTATIVES SHALL CREATE A WARRANTY.
YOU USE THE SOFTWARE ENTIRELY AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCI-PILOT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF SCI-PILOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THIS EULA OR THE SOFTWARE EXCEED THE AMOUNT OF ONE HUNDRED EUROS (€100.00) OR THE AMOUNT YOU PAID TO USE THE SOFTWARE DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, WHICHEVER IS GREATER.
THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND EVEN IF SCI-PILOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND SCI-PILOT.
You agree to indemnify, defend, and hold harmless Sci-Pilot, its officers, directors, employees, agents, and licensors from and against any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
This EULA is effective until terminated. Sci-Pilot may terminate this EULA and your license at any time, with or without cause, and with or without notice.
Upon termination:
You may terminate this EULA at any time by discontinuing use of the Software and deleting any copies in your possession. You may also request account deletion by contacting us at contact@scipilot.app.
This EULA shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising out of or relating to this EULA shall be resolved exclusively in the courts of Paris, France.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded from application to this EULA.
Severability. If any provision of this EULA is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely approximates the intent and economic effect of the invalid provision.
Entire Agreement. This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Sci-Pilot regarding the use of the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
No Waiver. The failure of Sci-Pilot to enforce any provision of this EULA shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Sci-Pilot.
Assignment. You may not assign or transfer this EULA or your rights hereunder, in whole or in part, without our prior written consent. We may assign this EULA and our rights and obligations hereunder without your consent.
Force Majeure.Neither party shall be liable for any failure or delay in performing its obligations if such failure or delay results from circumstances beyond that party's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government actions, or failures of the internet or power infrastructure.
